HYPELIFY - Self-Serve Advertising Terms

1.   Introduction

HypeLify is an innovative advertising platform that connects businesses with influential hypelifiers to leverage the power of word-of-mouth advertising. By tapping into the vast networks of hypelifiers, businesses can reach a wider audience, increase visibility, and drive sales.

 

Our mission is to revolutionize the advertising industry by offering a cost-effective and targeted advertising solution. We aim to empower businesses of all sizes to amplify their reach, engage their target audience, and achieve their marketing objectives.

 

HypeLify operates by connecting businesses with influential hypelifiers who have large and engaged networks. These hypelifiers share ads with their audience, creating a powerful ripple effect and expanding the reach of businesses.

 

HYPELIFY PORTAL LLC builds technologies and services that enable people to connect with each other, build communities, and grow businesses. These Terms govern your use of HYPELIFY Apps, Web portals,  and the other products, features,  services, technologies, and software we offer, These Products are provided to you by HYPELIFY PORTAL LLC.

We don’t charge hypelifiers to use HYPELIFY or the other products and services covered by these Terms, unless we state otherwise. Instead, businesses and organizations, and other persons (Advertisers) pay us to show you ads for their products and services.

We don’t sell personal data of users (HYPELIFIERS) to advertisers, and we don’t share information that directly identifies our users (HYPELIFIERS) (such as name, email address or other contact information). Instead, advertisers can tell us things like the kind of audience they want to see their ads, and we show those ads to people who may be interested. We provide advertisers with reports about the performance of their ads that help them understand how people are interacting with their content.

 

2.   Definitions

For the purposes of these Terms and Conditions:

Application/Portal/Website means the software program provided by the Company downloaded or accessed by You on any electronic device, named HYPELIFY

Country refers to: United Arab Emirates

Company (referred to as either “HYPELIFY” "the Company", "We", "Us" or "Our" in this Agreement) refers to HYPELIFY LLC, BAYVIEW TOWER - Office Number: 1805-031 Dubai – Business Bay - Makani No 25684 86128.

Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

Service refers to the Application, Porta, and web software

Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

You mean the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual or organization is accessing or using the Service, as applicable.

 

 

3.   Self-Serve Advertising Terms

These Self-Serve Advertising Terms form a legally binding contract between you (your company, or organization) and HYPELIFY, to create, manage, and run content, including ads.

a.      License

                  i.     If you submit content to run as an ad, you grant to HYPELIFY and its affiliates a non-exclusive, non-transferable (except as provided herein), sublicensable, irrevocable, worldwide, royalty-free, license to use, archive, copy, cache, encode, record, store, reproduce, distribute, transmit, broadcast, adapt, modify, publish, promote, exhibit, synchronize, communicate to the public, make available, publicly display, and publicly perform the content you approve or make available via HYPELIFY Apps, portals and other products as set forth in these Self-Serve Advertising Terms.

                ii.     To the extent a waiver is not permitted, you agree not to assert any such rights against HYPELIFY and its affiliates.

b.      Content

                  i.     Advertising Policy

1.  Introduction: In that spirit of authenticity, we expect advertisers to be honest about their products, services, and content, to be kind to our diverse community, and to never compromise Hypelifiers’ privacy.

2.  All ads are subject to our review and approval. We reserve the right to reject or remove any ad in our sole discretion for any reason, including in response to user feedback, which we take seriously. We also reserve the right to request modifications to any ad, to require factual substantiation for any claim made in an ad, or to require documents evidencing that you hold any license or authorization that may be required in connection with your ad.

3.  HYPELIFY may suspend or terminate accounts tied to businesses or individuals who violate our Advertising Policies.

4.  HYPELIFIERS can share ads with others. They may use any of the tools and features we make available in HYPELIFY to share ads in HYPELIFY audience network or outside it.

5.  If you make available Ad or content, you will remain the owner, but you allow HYPELIFY, hypelifiers, and third parties to use it for various reasons such as sharing your Ad.

6.  General Requirements

a.       All ads must be suitable for their selected audience in each geographic area where the ads will run. HYPELIFY is a 12+ app, so we will reject ads that are addressed to, or intended to appeal to, children under 12.

b.       Ads must comply with all applicable laws, statutes, ordinances, rules, public order rules, industry codes, regulations, and cultural sensitivities in each geographic area where the ads will run.

c.        All required disclosures, disclaimers, and warnings in ads must be clear and conspicuous.

d.       Advertisements may not collect sensitive information or special category data, including information based on or including: (i) an alleged or actual commission of a crime; (ii) health information; or (iii) information about users’ financial status, racial or ethnic origin, religious beliefs or preferences, sex life or sexual preferences, political opinions, or trade union membership.

e.       Ads must not infringe the intellectual property, privacy, publicity, or other legal rights of any person or entity. Advertisers must have all necessary rights and permissions for all elements of their ads. Ads may not feature the name, likeness (including look-alikes), voice (including sound-alikes), or other identifying features of an individual without the individual's consent.

f.        The following is prohibited:

                                             i.     Ads for products or services principally used to infringe the intellectual property rights of others, such as those designed to bypass copyright protection mechanisms (for example, software or cable signal descramblers).

                                           ii.     Ads for products or services principally dedicated to selling counterfeit products, such as imitations of designer or officially-licensed products.

                                          iii.     Ads for products or services with false celebrity testimonials or usage.

g.       All content and ads must meet high quality and editorial standards. Ad creatives that do not meet high-quality standards will be rejected.

h.       When reviewing ads, we apply our policies to the ad’s landing page or other associated elements. We reject ads with landing pages that are:

                                          i.       Low quality (e.g., dead links, pages that are non-functional or not formatted for mobile phones)

                                         ii.       Disruptive (e.g., unexpected user experiences, sudden loud noises, aggressive flashing)

                                        iii.       Irrelevant (e.g., pages that don’t match the product or service being advertised, or that unnecessarily draw out the purchase process in order to expose the user to more and more ads)

                                        iv.       Unsafe (e.g., attempts to automatically download files or phish for user data)

 

7.  Specific Requirements

                                    i.     Adult Content: all adult content is prohibited includes depictions of, or references to: (Sexual organs, Sexual activity, content that is sexually suggestive, content that is sexually explicit, Sexual solicitation content of any kind, Adult entertainment content (pornography, sexual live streams, strip clubs))

                                  ii.     Alcohol, Drugs and Tobacco: We prohibit all Ads for Alcohol, illegal drugs, and Tobacco products. We do not allow content or ads of alcohol drinking, drug taking, smoking, or vaping, except in the context of public health messaging or smoking cessation.

                                 iii.     Entertainment: Ads for movies, videogames, and television shows must be age-targeted to the intended audience of the content they promote. When illegal, regulated, dangerous, violent or otherwise harmful elements are presented in a fictional, newsworthy or documentary context, we will review them based on appropriateness for the audience.

                                 iv.     Health: Advertisements for health-related products and services must only promote those products or services that have been approved by the local regulatory authorities in each of the countries targeted.

a.     Online Pharmacy: Ads for online pharmacies must be registered with the relevant authorities in the country in which you are advertising.

b.     Prescription Medicines: All advertisers of prescription medicines must be pre-approved by HYPELIFY, and may be required to submit proof of authorization to advertise the medicine in the applicable area or country.

c.     Over-the-Counter (OTC) Medicines: All advertisers of OTC medicines must be pre-approved by HYYPEKIFY and may be required to submit proof of authorization to advertise the medicine in the applicable area or country. 

d.     Health and Dietary Supplements: Health and dietary supplement advertisers must be pre-approved by HYPELIFY and may be required to submit proof of authorization to advertise the product in the applicable area or country.

e.     Diet and Fitness: Ads for diet and fitness products or services must not contain over-exaggerated claims or “before and after” images, demean the user, or shame anyone on the basis of body shape or size, or mislead or inaccurately describe the qualities and characteristics of a food product, including any associated health and nutritional claims. And Ads that reference weight loss must be targeted 18+.

f.      Condoms: Where ads for condoms are permitted, content may not depict sex acts or overly provocative imagery. See the Adult Content section for more details.

g.     Hormonal Contraceptives: Hormonal contraceptives classified as medicines are subject to the policies of prescriptions.

h.     Cosmetic Procedures: Ads for plastic surgery must be age-targeted to 21+. Ads for non-surgical cosmetic procedures (e.g., lip fillers, botox) must be age-targeted 18+.

                                  v.     Gaming, Gambling, and Lotteries: All content and ads of gambling services are prohibited including the promotion of online casinos, brick-and-mortar casinos, lotteries, daily sports bets, and any product or service (including online or mobile games) that asks HYPELIFIERS or their networks and communities to pay to play games of chance to win prizes with real-world value.

                                 vi.     financial Products and Services: Ads for financial products and services must clearly and prominently disclose all applicable material terms and conditions to consumers prior to the submission of an application. Ads for loans must disclose, among other things, APR, repayment period, fees and costs, penalties, and the contact information of the lending institution. Ads for financial products intended for a limited audience should only be targeted to individuals over the age of 18+. Ads for certain complex financial products, which may include cryptocurrency wallets and trading platforms, require prior approval from HYPELIFY. We prohibit Ads of (Get-rich-quick offers, pyramid schemes, or other deceptive or too-good-to-be-true financial offers. Promising guaranteed financial returns on speculative investments. Ads that promote particular securities or that provide or allege to provide insider tips).

                                vii.     Dating: we prohibit all Ads for dating services.

                              viii.     Telecommunication Services: Ads for calling, SMS and VPN services must contain clear pricing and terms, and must not reference using their services illegally.

                                 ix.     Political and Advocacy Advertising: we prohibit all Political and Advocacy Advertising Ads

                                  x.     Prohibited Content: the following content and Ads are prohibited:

a.     Harassment: Ads should not promote harassment, bullying, or shaming.

b.     We prohibit the depiction of real-life graphic violence. Landing pages that depict real-life violent or disturbing imagery. or fictional violence even in all movie trailers, video games, etc. We prohibit the depiction of real-life graphic violence. c.     We prohibit the glorification of violence, including any glorification of self-harm, war, murder, abuse or animal abuse.

d.     We prohibit disturbing content that may cause distress, such as graphic depictions of gore, physical afflictions, bodily fluids, and medical or cosmetic procedures.

e.      We prohibit Ads that are false or misleading, including deceptive claims, offers, functionality, or business practices.

f.      We prohibit promotion of fraudulent goods or services, including counterfeit documents or certificates, or counterfeit products.

g.     We prohibit Ads that contain deceiving calls to action, or lead to landing pages unrelated to the brand or content being advertised.

h.     We prohibit Cloaking, otherwise restricting landing page access, or modifications to URL content following submission in an attempt to circumvent review.

i.       We prohibit Ads that encourage dishonest behavior. (e.g., ads for fake IDs, plagiarism, essay writing services).

j.       We prohibit content and Ads include Hate Speech, Hate Groups, Terrorism and Violent Extremism

k.     We prohibit content and ads that facilitate or encourage illegal activity (conduct, products, or enterprises)

l.       We prohibit content and ads We prohibit content and ads encourage or enlist participation in dangerous or harmful activities.

c.       Payment Terms

                  i.     Introduction: These Payment Terms form a legally binding contract between you "Advertiser" and HYEPLIFY. If the entity using HYPELIFY Services is acting as agent for another entity, then for purposes of these Payment Terms, “Advertiser” means that other entity. In summary: These terms form a legally binding contract and govern payments from you to HYPELIFY.

                ii.     Charges

1.     All ads that run on HYPELIFY are charged according to HYPELIFY's measurements and prices based on the service selected. And it will be deducted from your account wallet directly.

2.     HYPELIFY may charge you for any applicable additional taxes, fees or charges. You and any relevant Advertiser must comply with all laws for remitting and reporting taxes. If you or an Advertiser need to withhold or deduct tax, you will pay HYPELIFY the full invoiced amount and send HYPELIFY any applicable tax receipts and any other documentation required by law.

3.     All top-ups to your account wallet will be invoiced and sent to your authorized email address.

               iii.     Payment

1.   You can pay HYPELIFY safely using cards (Visa/ MasterCard / American Express) as we already integrated with highly reputed payment gateway for safe and fast payment approach.

2.   Invoice. automatic invoice will be sent to your authorized email address once payment is done, and the new amount (top-up amount) will be reflected in your wallet directly after payment completion.

3.   If HYPELIFY does not receive payment from your payment card issuer, their agents, or from your alternative payment method, you remain obligated to pay HYPELIFY for any orders delivered.

4.   If you cancel a Subscription, you will not be refunded any amounts already paid to HYPELIFY.

d.      Ads Cancellation

             i.         You may cancel an ad before posting/publishing it, or when it's already published and the remaining amount of the budget is available.

            ii.         If the Ad is not published/posted the full amount of the Ad budget will be refunded to your wallet, if the Ad is already posted/published and you cancel it the remaining budget after cancelation will be refunded to your wallet.

 

e.      Creation & Termination

             i.         To use HYPELIFY application, users (Advertisers) must create an account. When creating their account, users must provide accurate and complete information, including their company name, email address, and other entity information. It is the user's responsibility to maintain the security of their account password and not share it with anyone else. If a user (Advertiser) suspects that their account has been compromised, they must notify HYPELIFY immediately. HYPELIFY reserves the right to terminate or suspend user (Advertiser) accounts at any time, and users may also terminate their own accounts at any time. Users (Advertisers) own their own accounts and are responsible for all activity that occurs on their accounts. By creating an account on HYPELIFY, users agree to comply with these terms of use related to account creation. Users (Advertisers) can at anytime terminate the relation with HYPELIFY by canceling and deleting his account on HYPELIFY based on this terms and conditions.

f.        Limitation of Liability

             i.         Notwithstanding any damages that You might incur, the entire liability of HYPELIFY and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service. To the maximum extent permitted by applicable law, in no event shall HYPELIFY or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if HYPELIFY or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

g.       "AS IS" and "AS AVAILABLE" Disclaimer

             i.         The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, HYPELIFY, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, HYPELIFY provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

            ii.         Without limiting the foregoing, neither HYPELIFY nor any of HYPELIFY's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

          iii.         Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.

h.      Governing Law

             i.         The laws of United Arab Emirate, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

i.        Disputes Resolution

             i.         If You have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting the Company.

j.        Severability and Waiver

             i.         Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

            ii.         Waiver: Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

k.       Translation Interpretation

             i.         These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English and Arabic text shall prevail in the case of a dispute.

l.        Changes to These Terms and Conditions

             i.         We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

4.   Service Acceptance

مهمتنا هي إحداث ثورة في صناعة الإعلان والشبكات الاجتماعية من خلال تقديم حل إعلاني مستهدف وفعال من حيث التكلفة. وتمكين الشركات من جميع الأحجام لتوسيع نطاق وصولها لجمهورها المستهدف وتحقيق أهدافها التسويقية.

2.   تعريف المصطلحات

الدولة : تشير الى دولة الإمارات العربية المتحدة

الشركة : تشير الى (الشركة حيثما وجدت باي اسم مثل "HYPELIFY" "الشركة" أو "نحن" في هذه الاتفاقية) إلى HYPELIFY LLC، BAYVIEW TOWER - رقم المكتب: 1805-031 دبي - الخليج التجاري - مكاني رقم 25684 86128.

الجهاز : أي جهاز يمكنه الوصول إلى الخدمة او التطبيق او الموقع الالكتروني HYPELIFYمثل جهاز كمبيوتر أو هاتف محمول أو جهاز لوحي رقمي.

الخدمة : تشير إلى التطبيق او الموقع او اية برامج خاصة ب HYPELIFY

الشروط والأحكام :(المشار إليها أيضًا باسم "الشروط") تعني هذه الشروط والأحكام التي تشكل الاتفاقية الكاملة بينك وبين الشركة فيما يتعلق باستخدام الخدمة.

أنت : تعني الفرد الذي يصل إلى الخدمة أو يستخدمها، أو الشركة أو أي كيان قانوني آخر يقوم هذا الفرد أو المؤسسة بالنيابة عنه و عن الشركة او المؤسسة بالوصول إلى الخدمة أو استخدامها.

 

3.   الشروط والاحكام للاعلان الذاتي على HYPELIFY

تشكل شروط إعلانات الخدمة الذاتية هذه عقدًا ملزمًا قانونًا بينك (شركتك أو مؤسستك) وHYPELIFY، لإنشاء المحتوى وإدارته وتشغيله، بما في ذلك الإعلانات.

a.  ترخيص استخدام المحتوى

a.     إذا قمت بإرسال محتوى لعرضه كإعلان او غيره، فإنك تمنح HYPELIFY والشركات التابعة لها ترخيصًا غير حصري وغير قابل للتحويل (باستثناء ما هو منصوص عليه هنا)، وغير قابل للإلغاء، وعالمي، وخالي من حقوق الملكية، ترخيصًا يسمح للاستخدام، والأرشفة، والنسخ، والتخزين المؤقت، والتوزيع، والإرسال، والبث، والنشر، والترويج، والعرض، والمزامنة، لتوصيله إلى الجمهور، وإتاحته، وعرضه علنًا، وهذا المحتوى الذي توافق عليه أو تجعله متاحًا عبر تطبيقات وبوابات HYPELIFY والمنتجات الأخرى مرخص للاستخدام على النحو المنصوص عليه في شروط الإعلان ذات الخدمة الذاتية هذه.

b.     إلى الحد الذي لا يُسمح فيه بالتنازل، فإنك توافق على عدم المطالبة بأي من هذه الحقوق ضد HYPELIFY والشركات التابعة لها.

1.   المقدمة: انطلاقًا من روح الأصالة والنزاهة ، نتوقع من المعلنين أن يكونوا صادقين بشأن منتجاتهم وخدماتهم ومحتواهم، وأن يكونوا لطفاء مع مجتمعنا المتنوع، وألا يتهاونوا  أبدًا عن خصوصية واحترام جميع المستخدمين Hypelifiers.

2.   تخضع جميع الإعلانات لمراجعتنا والموافقة عليها. نحن نحتفظ بالحق في رفض أو إزالة أي إعلان وفقًا لتقديرنا الخاص لأي سبب من الأسباب، بما في ذلك الاستجابة لتعليقات المستخدمين، والتي نأخذها على محمل الجد. نحتفظ أيضًا بالحق في طلب تعديلات على أي إعلان، أو طلب إثبات واقعي لأي مطالبة مقدمة في الإعلان، أو طلب مستندات تثبت أنك تحمل أي ترخيص أو تفويض قد يكون مطلوبًا فيما يتعلق بإعلانك.

3.   يحق لشركة HYPELIFY تعليق أو إنهاء الحسابات المرتبطة بالشركات أو الأفراد الذين ينتهكون سياساتنا الإعلانية.

4.   يستطيع المستخدمين HYPELIFIERS مشاركة الإعلانات مع الآخرين. ويجوز لهم استخدام أي من الأدوات والميزات التي نوفرها في HYPELIFY لمشاركة الإعلانات في شبكة جمهور HYPELIFY أو خارجها.

5.   إذا قمت بتوفير إعلان أو محتوى على HYPELIFY، فتكون أنت المالك للمحتوى ، ولكنك تسمح لـ HYPELIFY والجهات الخارجية الاخرى المرتبطة بها باستخدامه لأسباب مختلفة اهمها مشاركة إعلانك او محتواك.

6.   المتطلبات العامة

a.     يجب أن تكون جميع الإعلانات مناسبة للجمهور المحدد في كل منطقة جغرافية والتي سيتم عرض الإعلانات فيها. HYPELIFY هو تطبيق للأطفال الذين تقل أعمارهم عن 12 عامًا، لذا سنرفض الإعلانات الموجهة إلى الأطفال دون سن 12 عامًا أو التي تهدف إلى جذبهم.

b.     يجب أن تلتزم الإعلانات بجميع القوانين والتشريعات والمراسيم والقواعد وقواعد النظام العام وقوانين الصناعة واللوائح والحساسيات الثقافية المعمول بها في كل منطقة جغرافية سيتم عرض الإعلانات فيها.

c.     يجب أن تكون جميع الإفصاحات وإخلاءات المسؤولية والتحذيرات المطلوبة في الإعلانات واضحة ومبينة.

d.     لا يجوز للإعلانات جمع معلومات حساسة أو بيانات فئة خاصة، بما في ذلك المعلومات بما في ذلك: (1) ارتكاب جريمة مزعومة أو فعلية؛ (2) المعلومات الصحية؛ أو (3) معلومات حول الوضع المالي للمستخدمين، أو الأصل العرقي أو الإثني، أو المعتقدات أو التفضيلات الدينية، أو الحياة الجنسية أو التفضيلات الجنسية، أو الآراء السياسية، أو العضوية النقابية.

e.     يجب ألا تنتهك الإعلانات الملكية الفكرية أو الخصوصية أو الحقوق القانونية الأخرى لأي شخص أو كيان. يجب أن يتمتع المعلنون بجميع الحقوق والأذونات اللازمة لجميع عناصر إعلاناتهم. لا يجوز للإعلانات أن تحتوي على الاسم أو التشابه (بما في ذلك الأشكال المشابهة) أو الصوت (بما في ذلك الأصوات المشابهة) أو أي سمات تعريفية أخرى للفرد دون موافقة الفرد.

f.      3) معلومات حول الوضع المالي للمستخدمين، أو الأصل العرقي أو الإثني، أو المعتقدات أو التفضيلات الدينية، أو الحياة الجنسية أو التفضيلات الجنسية، أو الآراء السياسية، أو العضوية النقابية.

g.     ز. يجب ألا تنتهك الإعلانات الملكية الفكرية أو الخصوصية أو الدعاية أو الحقوق القانونية الأخرى لأي شخص أو كيان. يجب أن يتمتع المعلنون بجميع الحقوق والأذونات اللازمة لجميع عناصر إعلاناتهم. لا يجوز للإعلانات أن تحتوي على الاسم أو التشابه (بما في ذلك الأشكال المشابهة) أو الصوت (بما في ذلك الأصوات المشابهة) أو أي سمات تعريفية أخرى للفرد دون موافقة الفرد.

h.     يحظر ما يلي:

                                                                                     i.     إعلانات المنتجات أو الخدمات المستخدمة بشكل أساسي لانتهاك حقوق الملكية الفكرية للآخرين، مثل تلك المصممة لتجاوز آليات حماية حقوق الطبع والنشر (على سبيل المثال، البرامج أو أجهزة فك تشفير الإشارات).

                                                                                    ii.      إعلانات المنتجات أو الخدمات المخصصة أساسًا لبيع المنتجات المقلدة، مثل المنتجات المقلدة للمصممين أو المنتجات غير المرخصة رسميًا.

                                                                                  iii.     إعلانات المنتجات أو الخدمات التي تحتوي على شهادات أو استخدامات كاذبة للمشاهير.

 

i.      يجب أن يفي كل المحتوى والإعلانات بمعايير الجودة والتحرير العالية. سيتم رفض تصميمات الإعلانات التي لا تستوفي معايير الجودة العالية.

j.      عند مراجعة الإعلانات، فإننا نطبق سياساتنا على الإعلان أو العناصر الأخرى المرتبطة به. نحن نرفض الإعلانات التي تحتوي على روابط:

                                                                                                     i.     ذو جودة منخفضة (على سبيل المثال، الروابط الميتة، والصفحات التي لا تعمل أو التي لم يتم تنسيقها للهواتف المحمولة)

                                                                                                   ii.     صفحات مزعجة (على سبيل المثال، تجارب المستخدم غير المتوقعة، والضوضاء العالية المفاجئة، والوميض الشديد)

                                                                                                  iii.     صفحات غير ذات صلة (على سبيل المثال، الصفحات التي لا تتطابق مع المنتج أو الخدمة التي يتم الإعلان عنها، أو التي تطيل عملية الشراء دون داعٍ من أجل تعريض المستخدم للمزيد والمزيد من الإعلانات).

                                                                                                  iv.     روابط غير آمنة (على سبيل المثال، محاولات تنزيل الملفات تلقائيًا أو التصيد الاحتيالي لبيانات المستخدم)

7.   المتطلبات المحددة

a.     محتوى للبالغين: يُحظر اي محتوى البالغين، بما في ذلك الصور أو الإشارات إلى: (الأعضاء الجنسية، النشاط الجنسي، المحتوى الذي يوحي جنسيًا، المحتوى الجنسي الصريح، محتوى الإغواء الجنسي من أي نوع، المحتوى الترفيهي للبالغين (المواد الإباحية، الحياة الجنسية) تيارات والافكار الجنسية ونوادي التعري))

b.     الكحول والمخدرات والتبغ: نحظر جميع إعلانات الكحول والمخدرات ومنتجات التبغ. لا نسمح بالمحتوى أو الإعلانات التي تتناول شرب الكحول أو تعاطي المخدرات أو التدخين أو التدخين الإلكتروني، إلا في سياق رسائل الصحة العامة أو الإقلاع عن التدخين.

c.     الترفيه: يجب أن تستهدف إعلانات الأفلام وألعاب الفيديو والبرامج التلفزيونية الفئة العمرية للجمهور المستهدف للمحتوى الذي تروج له. وعدم عرض عناصر غير قانونية أو منظمة أو خطيرة أو عنيفة أو ضارة بأي شكل آخر ان كان في سياق خيالي أو حقيقي.

d.     الصحة: يجب أن تروج إعلانات المنتجات والخدمات المتعلقة بالصحة فقط لتلك المنتجات أو الخدمات التي تمت الموافقة عليها من قبل السلطات التنظيمية المحلية في كل بلد من البلدان المستهدفة. وفيما يخص:

                                                                                       i.     صيدليات الإنترنت: يجب أن تكون إعلانات صيدليات الإنترنت مسجلة لدى السلطات المختصة في البلد الذي تعلن فيه.

                                                                                      ii.     الأدوية التي تستلزم وصفة طبية: يجب أن يحصل جميع المعلنين عن الأدوية التي تستلزم وصفة طبية على موافقة مسبقة من HYPELIFY، وقد يُطلب منهم تقديم دليل على التفويض للإعلان عن الدواء في المنطقة أو البلد المعني.

                                                                                     iii.     الأدوية التي لا تستلزم وصفة طبية (OTC): يجب أن يحصل جميع المعلنين عن الأدوية التي لا تستلزم وصفة طبية على موافقة مسبقة من HYYPEKIFY وقد يُطلب منهم تقديم دليل على الترخيص للإعلان عن الدواء في المنطقة أو البلد المعني.

                                                                                     iv.     المكملات الغذائية والصحية: يجب أن يحصل المعلنون عن المكملات الغذائية والصحية على موافقة مسبقة من HYPELIFY وقد يُطلب منهم تقديم دليل على التفويض للإعلان عن المنتج في المنطقة أو البلد المعني.

                                                                                      v.     النظام الغذائي واللياقة البدنية: يجب ألا تحتوي إعلانات منتجات أو خدمات النظام الغذائي واللياقة البدنية على ادعاءات مبالغ فيها أو صور "قبل وبعد"، أو تحقير المستخدم، أو تخجل أي شخص على أساس شكل الجسم أو حجمه، أو تضلل الصفات أو تصفها بشكل غير دقيق. وخصائص المنتج الغذائي، بما في ذلك أي ادعاءات صحية وغذائية مرتبطة به. ويجب أن تستهدف الإعلانات التي تشير إلى فقدان الوزن الأشخاص الذين تزيد أعمارهم عن 18 عامًا.

                                                                                     vi.     الواقي الذكري: عندما يُسمح بإعلانات الواقي الذكري، لا يجوز أن يصور المحتوى أفعالًا جنسية أو صورًا استفزازية بشكل مفرط.

                                                                                   vii.     موانع الحمل الهرمونية: تخضع موانع الحمل الهرمونية المصنفة كأدوية لسياسات الوصفات الطبية ويمنع نشرها بدون موافقة HYPELIFY كما هو موضح اعلاه.

                                                                                  viii.     الإجراءات التجميلية: يجب أن تستهدف إعلانات الجراحة التجميلية الفئة العمرية التي تزيد عن 21 عامًا. يجب أن تستهدف إعلانات العمليات التجميلية غير الجراحية (مثل حشو الشفاه والبوتوكس) الفئة العمرية التي تزيد عن 18 عامًا.

e.     ألعاب القمار والمقامرة واليانصيب: تُحظر جميع محتويات وإعلانات خدمات المقامرة، بما في ذلك الترويج للكازينوهات عبر الإنترنت والكازينوهات الفعلية واليانصيب والرهانات الرياضية اليومية وأي منتج أو خدمة (بما في ذلك الألعاب عبر الإنترنت أو ألعاب الهاتف المحمول) التي تطلب يقوم HYPELIFIERS أو شبكاتهم ومجتمعاتهم بالدفع مقابل ممارسة ألعاب الحظ للفوز بجوائز ذات قيمة حقيقية.

f.      المنتجات والخدمات المالية: يجب أن تكشف إعلانات المنتجات والخدمات المالية بوضوح وبشكل بارز عن جميع الشروط والأحكام المادية المعمول بها للمستهلكين. يجب أن تكشف إعلانات القروض عن معدل الفائدة السنوي (APR)، وفترة السداد، والرسوم والتكاليف، والغرامات، ومعلومات الاتصال الخاصة بمؤسسة الإقراض. يجب أن تستهدف إعلانات المنتجات المالية المخصصة لجمهور محدود فقط الأفراد الذين تزيد أعمارهم عن 18 عامًا. تتطلب إعلانات بعض المنتجات المالية المعقدة، والتي قد تشمل محافظ العملات المشفرة ومنصات التداول، موافقة مسبقة من HYPELIFY. نحن نحظر إعلانات (عروض الثراء السريع أو المنتجات الهرمية أو غيرها من العروض المالية الخادعة أو الجيدة جدًا لدرجة يصعب تصديقها. الوعد بعوائد مالية مضمونة على استثمارات المضاربة. الإعلانات التي تروج لأوراق مالية معينة أو التي توفر أو تدعي تقديم نصائح من الداخل).

g.     المواعدة: نحظر جميع إعلانات لخدمات ومواقع المواعدة.

h.     خدمات الاتصالات: يجب أن تحتوي إعلانات خدمات الانترنت وخدمات الاتصال والرسائل النصية القصيرة وخدمات VPN على أسعار وشروط واضحة، ويجب ألا تشير إلى استخدام خدماتها بشكل غير قانوني.

i.      ألإعلانات السياسية: نحظر جميع الإعلانات السياسية والدعائية للأحزاب والتجمعات السياسية. او اية اعلانات لها توجهات او افكار سياسية.

j.      المحتوى المحظور: المحتوى والإعلانات التالية محظورة:

                                                                                                     i.     التحرض والضايقة: يجب ألا تروج الإعلانات للتحرش أو التنمر أو التسلط أو التشهير.

                                                                                                   ii.     نحن نحظر تصوير مشاهد العنف الواقعية. الصفحات المقصودة هي التي تعرض صورًا واقعية عنيفة أو مزعجة. أو العنف الخيالي حتى في جميع الإعلانات الترويجية للأفلام وألعاب الفيديو وما إلى ذلك. نحن نحظر تصوير مشاهد العنف الواقعية. والروابط التي تعرض صورًا واقعية عنيفة أو مزعجة. أو العنف الخيالي حتى في جميع إعلانات الأفلام وألعاب الفيديو وما إلى ذلك.

                                                                                                  iii.     نحن نحظر تمجيد العنف، بما في ذلك أي تمجيد وتشجيع إيذاء النفس أو الحرب أو القتل أو الإساءة للاخرين أو إساءة معاملة الحيوانات.

                                                                                                  iv.     نحن نحظر المحتوى المزعج الذي قد يسبب الضيق، مثل الصور الرسومية للدماء والآلام الجسدية وسوائل الجسم والعمليات الطبية أو التجميلية.

                                                                                                    v.     نحن نحظر الإعلانات الكاذبة أو المضللة، بما في ذلك الادعاءات أو العروض أو الوظائف أو الممارسات التجارية الخادعة.

                                                                                                  vi.     نحن نحظر الترويج للسلع أو الخدمات الاحتيالية، بما في ذلك المستندات أو الشهادات المزورة أو المنتجات المزيفة.

                                                                                                 vii.     نحن نحظر الإعلانات التي تحتوي على عبارات خادعة تحث المستخدم على اتخاذ إجراء، أو تؤدي إلى صفحات وروابط لا علاقة لها بالعلامة التجارية أو المحتوى الذي يتم الإعلان عنه.

                                                                                               viii.     نحن نحظر إخفاء الهوية، أو تقييد الوصول إلى الصفحة المقصودة، أو إجراء تعديلات على محتوى عنوان URL بعد الإرسال في محاولة للتحايل على المراجعة والتدقيق من خلال HYPELIFY.

                                                                                                  ix.     نحن نحظر الإعلانات التي تشجع السلوك غير النزيه. (على سبيل المثال، إعلانات الهويات المزيفة، والانتحال، وغيرها).

                                                                                                    x.     نحن نحظر المحتوى والإعلانات التي تتضمن خطاب الكراهية ومجموعات الكراهية والإرهاب والتطرف العنيف.

                                                                                                  xi.     نحن نحظر المحتوى والإعلانات التي تسهل أو تشجع النشاط غير القانوني (السلوك أو المنتجات أو المؤسسات)

                                                                                                 xii.     نحن نحظر المحتوى والإعلانات التي تشجع أو تحث على المشاركة في أنشطة خطيرة أو ضارة.

 

c.  شروط الدفع

a.   مقدمة: تشكل شروط الدفع هذه عقدًا ملزمًا قانونًا بينك "المعلن" وبين HYEPLIFY. إذا كنت متعاقد بشكل مباشر وتعلن بشكل مباشر او تعلن عن طريق كيان اخر على منصة HYPELIFY عن طريق وكيل مثلا، فبالنسبة لأغراض شروط الدفع هذه، فإن كلمة "المعلن" تعني انت او الوكيل وتشكل هذه الشروط عقدًا ملزمًا قانونًا وتحكم المدفوعات منك إلى HYPELIFY.

b.  الرسوم

                                               i.         يتم فرض رسوم على جميع الإعلانات التي يتم نشرها على HYPELIFY وفقًا لقياسات وأسعار HYPELIFY بناءً على الخدمة المحددة. وسيتم خصمها من محفظة حسابك مباشرة قيمة الاعلان.

                                             ii.         قد تفرض عليك HYPELIFY رسومًا مقابل أي ضرائب أو رسوم أو تكاليف إضافية مطبقة. يجب عليك الالتزام بجميع القوانين المتعلقة بتحويل الضرائب والإبلاغ عنها. إذا كنت أنت أو أحد المعلنين بحاجة إلى اقتطاع الضريبة أو خصمها، فسوف تدفع لـ HYPELIFY كامل مبلغ وترسل إلى HYPELIFY أي إيصالات ضريبية سارية وأي مستندات أخرى يتطلبها القانون ليتم خصمها لاحقا.

                                            iii.         سيتم إصدار فاتورة بجميع عمليات إعادة تعبئة محفظة حسابك TOP-UP وإرسالها إلى عنوان بريدك الإلكتروني المعتمد.

c.  طريقة الدفع

                                               i.         يمكنك الدفع على منصة HYPELIFY بأمان وباعلى مستويات السرية باستخدام البطاقات (Visa/ MasterCard / American Express) حيث أننا قمنا بربط صفحة ال\فع مع بوابة الدفع ذات السمعة الممتازة لدفع آمن وسريع.

                                             ii.         الفاتورة. سيتم إرسال الفاتورة بشكل تلقائي إلى عنوان بريدك الإلكتروني المعتمد لدى منصة HYPELIFY بمجرد الانتهاء من الدفع، وسيظهر المبلغ الجديد (مبلغ التعبئة TOP -UP ) في محفظتك مباشرة بعد إتمام الدفع.

                                            iii.         إذا لم تتلق HYPELIFY مدفوعات من جهة إصدار بطاقة الدفع الخاصة بك أو وكلائها أو من طريقة الدفع البديلة الخاصة بك، فستظل ملزمًا بدفع HYPELIFY مقابل أي طلبات او مشتريات تم تسليمها لك.

                                            iv.         إذا قمت بإلغاء الاشتراك، فلن يتم استرداد أي مبالغ التي تم دفعها بالفعل إلى HYPELIFY ومتوفرة في محفظتك. فعليك صرف المبالغ المتواجدة في محفظتك قبل الغاء الاشتراك والحساب الخاص بك.

d.  الغاء الاعلانات

a.   يمكنك إلغاء الإعلان قبل نشره، أو عندما يكون منشورًا بالفعل ويكون متوفر مبلغ متبقي من الميزانية الاعلان ولم تنتهي بعد.

b.   إذا لم يتم نشر الإعلان بعد، وقمت بالغائه فسيتم رد مبلغ ميزانية الإعلان بالكامل إلى محفظتك، وإذا تم نشر الإعلان بالفعل وقمت بإلغائه، فسيتم رد الملبغ المتبقي من ميزانية الاعلان بعد إلغاءه إلى محفظتك.

e.  انشاء وانهاء الحساب والتعاقد

a.   لاستخدام موقع وتطبيقات HYPELIFY، يجب على المستخدمين (المعلنين) إنشاء حساب. عند إنشاء حساباتهم، يجب على المستخدمين تقديم معلومات دقيقة وكاملة، بما في ذلك اسم الشركة وعنوان البريد الإلكتروني ومعلومات الكيان الأخرى. تقع على عاتق المستخدم مسؤولية الحفاظ على أمان كلمة المرور لحسابه وعدم مشاركتها مع أي شخص آخر. إذا اشتبه المستخدم (المعلن) تعرض حسابه للاختراق، فيجب عليه إخطار HYPELIFY على الفور. تحتفظ HYPELIFY بالحق في إنهاء أو تعليق حسابات المستخدمين (المعلنين) في أي وقت، ويجوز للمستخدمين أيضًا إنهاء حساباتهم الخاصة في أي وقت وحذف حسابه على HYPELIFY بناءً على هذه الشروط والأحكام. يمتلك المستخدمون (المعلنون) حساباتهم الخاصة وهم مسؤولون عن جميع الأنشطة التي تحدث على حساباتهم. من خلال إنشاء حساب على HYPELIFY، يوافق المستخدمون على الالتزام بشروط الاستخدام هذه المتعلقة بإنشاء الحساب.

f.   حدود المسؤولية

g.  إخلاء المسؤولية "كما هو" و"كما هو متاح"  - "AS IS" and "AS AVAILABLE" Disclaimer

b.     دون تقييد ما سبق، لا تقدم HYPELIFY أو أي من موردي HYPELIFY أي تعهد أو ضمان من أي نوع، صريحًا أو ضمنيًا: (1) فيما يتعلق بتشغيل الخدمة أو توفرها، أو المعلومات والمحتوى والمواد أو المنتجات المضمنة فيها. ; (2) أن الخدمة ستكون دون انقطاع أو خالية من الأخطاء؛ (3) فيما يتعلق بدقة أو موثوقية أو عملة أي معلومات أو محتوى مقدم من خلال الخدمة؛ أو (4) أن الخدمة أو خوادمها أو المحتوى أو رسائل البريد الإلكتروني المرسلة من الشركة أو نيابة عنها خالية من الفيروسات أو البرامج النصية أو أحصنة طروادة أو الفيروسات المتنقلة أو البرامج الضارة أو القنابل الموقوتة أو غيرها من المكونات الضارة.

c.     لا تسمح بعض الولايات القضائية باستثناء أنواع معينة من الضمانات أو القيود على الحقوق القانونية المعمول بها للمستهلك، لذلك قد لا تنطبق عليك بعض أو كل الاستثناءات والقيود المذكورة أعلاه. ولكن في مثل هذه الحالة، يتم تطبيق الاستثناءات والقيود المنصوص عليها في هذا القسم إلى أقصى حد قابل للتنفيذ بموجب القانون المعمول به.

 

h.  القانون الحاكم

a.     تحكم قوانين دولة الإمارات العربية المتحدة هذه الشروط واستخدامك للخدمة. قد يخضع استخدامك لـ HYPELIFY أيضًا لقوانين محلية أو حكومية أو وطنية أو دولية أخرى.

 

i.    حل النزاعات

a.     إذا كان لديك أي مشكلة أو نزاع بشأن الخدمة، فإنك توافق على أن تحاول أولاً حل النزاع بشكل غير رسمي عن طريق الاتصال بالشركة.

 

j.    قابلية الفصل والتنازل

a.     قابلية الفصل: إذا اعتبر أي شرط من هذه الشروط غير قابل للتنفيذ أو غير صالح، فسيتم تغيير هذا الشرط وتفسيره لتحقيق أهداف هذا الشرط إلى أقصى حد ممكن بموجب القانون المعمول به وستظل الأحكام والشروط المتبقية سارية المفعول والتأثير الكامل.

b.     التنازل: باستثناء ما هو منصوص عليه هنا، فإن الفشل في ممارسة حق أو المطالبة بأداء التزام بموجب هذه الشروط لن يؤثر على قدرة الطرف على ممارسة هذا الحق أو المطالبة بأداء الالتزام في أي وقت بعد ذلك.

 

k.  الترجمة واللغة

a.     بما تتم ترجمة هذه الشروط والأحكام إذا جعلناها متاحة لك للترجمة. ومع ذلك أنت توافق على أن النص الأصلي باللغتين الإنجليزية والعربية يجب أن يكون لها الغلبة في حالة وجود نزاع.

 

l.    التغيير على هذه الشروط والأحكام

a.     نحن نحتفظ بالحق، وفقًا لتقديرنا الخاص، في تعديل أو استبدال هذه الشروط في أي وقت. إذا كان التغيير جوهريا، فسنبذل جهودًا معقولة لتقديم إشعار قبل 30 يومًا على الأقل من سريان أي شروط جديدة. سيتم تحديد ما يشكل تغييرًا جوهريًا وفقًا لتقديرنا الخاص.

4.   قبول الخدمة

         i.              من خلال الاستمرار في الوصول إلى خدمتنا أو استخدامها او الدخول الى HYPELIFY ، فإنك توافق على الالتزام بالشروط والاحكام هذه. إذا كنت لا توافق على هذه الشروط والاحكام كليًا أو جزئيًا، فيرجى التوقف عن استخدام موقع HYPELIFY والخدمة.
